1. Introduction

Welcome to RouteWise. These Terms of Service ("Terms") govern your access to and use of the RouteWise transportation management platform, including our website at routewiseapp.com and the associated application at app.routewiseapp.com (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

RouteWise is operated by RouteWise Inc. ("we," "us," or "our"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Usage Terms

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes related to managing transportation operations.

2.1 Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2 Subscription Plans

Access to the Service is provided through subscription plans (Starter, Professional, or Enterprise). Each plan includes specified resource limits for users, vehicles, drivers, students, and routes. Exceeding plan limits may require upgrading to a higher tier.

2.3 Service Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access and may perform scheduled maintenance with reasonable advance notice. Emergency maintenance may be performed without prior notice when necessary to protect the security or integrity of the Service.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service for any purpose other than managing legitimate transportation operations
• Upload, transmit, or store any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable
• Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems connected to the Service
• Interfere with or disrupt the integrity or performance of the Service or the data contained therein
• Use automated scripts, bots, or other means to access the Service except through our published APIs
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Share your account credentials with unauthorized third parties
• Use the Service to store or transmit personally identifiable information of minors in violation of applicable laws, including FERPA and COPPA

4. Limitation of Liability

4.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

4.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROUTEWISE INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

4.3 Maximum Liability

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

5. Intellectual Property

The Service and its original content, features, and functionality are owned by RouteWise Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of all data you upload to the Service. By using the Service, you grant us a limited license to process, store, and display your data solely for the purpose of providing and improving the Service.

6. Termination

6.1 Termination by You

You may terminate your account at any time by canceling your subscription through the billing management section of the Service. Upon cancellation, your subscription will remain active until the end of the current billing period, after which your access will be restricted to read-only mode.

6.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms. We may also terminate your account if your subscription payment fails and remains unresolved for more than 14 consecutive days.

6.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will retain your data for 90 days following termination to allow for data export. After this period, all your data will be permanently deleted from our systems unless retention is required by law.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

8. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you do not agree to the new Terms, you must stop using the Service.
